StartWise Payment & Subscription Terms

These StartWise Payment & Subscription Terms — US (the Payment Terms) govern payments, purchases, subscriptions, drafting credits, membership, renewals, cancellations, refunds, discounts, taxes and related payment matters for StartWise products and services provided by Law Offices of Gabriel C. Mbanefo, P.C. (d/b/a Entrepreneur Legal®) (Entrepreneur Legal® US, we, us or our).
StartWise is the platform brand. For US business profiles, US document workflows and services provided through the US website or otherwise by the US Entrepreneur Legal business, StartWise products and services are provided by Entrepreneur Legal® US. For UK business profiles, UK document workflows and services provided through the UK Entrepreneur Legal business, separate UK payment and subscription terms may apply.
These Payment Terms apply only to US business profiles, US document workflows, US StartWise products, US subscriptions and Platform services provided by Entrepreneur Legal® US.
These Payment Terms should be read together with the StartWise Platform Terms of Use — US, any applicable product-specific terms, checkout terms, Legal Services Terms, Document Review / Attorney Review Scope, Legal Consultation Scope and any separate written scope or engagement terms.
By purchasing StartWise Drafting credits, subscribing to StartWise Membership, purchasing Document Review / Attorney Review, booking a Legal Consultation, submitting a payment, or otherwise purchasing a StartWise product or service from Entrepreneur Legal® US, you agree to these Payment Terms.
If you do not agree to these Payment Terms, you must not purchase or use the relevant paid product or service.
1. Important summary
This summary is intended to help you understand the key payment terms. It does not replace the full Payment Terms below.
- StartWise Drafting credits are for StartWise Drafting only. They do not include attorney review, legal advice, legal consultation, bespoke legal services, filing fees or third-party costs.
- StartWise Membership is a subscription. Membership may include monthly drafting credits, workspace access, member pricing and discounts on eligible products, subject to the applicable membership plan.
- Credits may expire. Monthly membership credits and other credits may expire or be subject to usage limits, caps or restrictions.
- Payments are normally taken before access or service delivery. Drafting credits, memberships, Document Review / Attorney Review and Legal Consultations are generally charged before use, review or consultation begins.
- Some purchases may be non-refundable once access or performance begins. Refund rules depend on the product purchased, whether performance has started, whether credits have been consumed, and applicable law.
- Document Review / Attorney Review and Legal Consultation are separate paid services. They are not included in StartWise Drafting credits or membership unless expressly stated.
- Bespoke legal work is separately scoped. Request Scope or bespoke legal work is not included unless separately agreed in writing.
- Prices may change. We may change pricing, membership benefits, credit packs, discounts and available products from time to time.
- Payment processing is handled by third-party payment providers. You may be required to accept their terms and provide payment information through their systems.
2. Definitions
In these Payment Terms, the following terms have the meanings set out below.
Account means a registered StartWise user account.
Additional Member Credits means drafting credits purchased by an active StartWise Member at member pricing, where available.
Annual Membership means a StartWise Membership subscription billed annually.
Billing Period means the monthly, annual or other subscription period shown at checkout or in your Account.
Business Profile means a business profile created or selected within StartWise.
Checkout means the online checkout, payment page, invoice, payment link, Stripe checkout page or other payment process used to purchase a StartWise product or service.
Credit Pack means a bundle of drafting credits purchased together.
Document Review / Attorney Review means a paid document-focused legal service provided by Entrepreneur Legal® US within the applicable fixed-price scope or separately agreed scope.
Drafting Credit means a credit or entitlement that may be used to generate an eligible document through a StartWise Drafting workflow.
Legal Consultation means a paid consultation with an attorney for business-related legal questions, concerns, strategy or next steps, subject to the applicable consultation scope.
Legal Services means attorney review, legal consultation, bespoke legal work, legal advice or other legal services provided separately by Entrepreneur Legal® US.
Member means a user with an active StartWise Membership.
Monthly Membership means a StartWise Membership subscription billed monthly.
Platform or StartWise means the StartWise platform, dashboard, drafting workflows, document workspace, account features and related online services.
StartWise Drafting means the guided document drafting workflows made available through StartWise.
StartWise Membership or Membership means a paid subscription plan that provides access to specified membership benefits, which may include monthly drafting credits, workspace access, member pricing and discounts.
you or your means the person or entity purchasing or using the relevant product or service.
3. Scope of these Payment Terms
3.1 Products and services covered
These Payment Terms apply to US purchases of:
- StartWise Drafting credits;
- Credit Packs;
- Additional Member Credits;
- StartWise Membership;
- Document Review / Attorney Review;
- Legal Consultation;
- Request Scope or bespoke services, where payment is taken through StartWise or the US website; and
- any other paid StartWise product or service provided by Entrepreneur Legal® US.
3.2 US business profiles and US workflows
These Payment Terms apply where the purchase relates to a US Business Profile, US document workflow or product provided by Entrepreneur Legal® US.
3.3 UK business profiles and UK workflows
Purchases relating to UK Business Profiles, UK document workflows or UK services may be governed by separate UK terms and may be provided by a separate UK Entrepreneur Legal business.
3.4 Product-specific terms
Some products may have additional product-specific terms or scope pages. If there is a conflict between these Payment Terms and product-specific terms, the product-specific terms apply to that product.
4. Payment provider and payment authorisation
4.1 Payment processor
Payments may be processed by third-party payment providers, including Stripe or other providers selected by us from time to time. Payment processing may be subject to the payment provider’s own terms, policies and privacy notices.
4.2 Payment information
You must provide complete, accurate and authorised payment information. You confirm that you are authorised to use the payment method provided.
4.3 Payment authorisation
By submitting a payment method, completing checkout, purchasing a product, subscribing to Membership or authorising recurring payments, you authorise us and our payment provider to charge the applicable fees, taxes and charges using the payment method you provide.
4.4 Failed payments
If payment fails, we may:
- suspend or restrict access to paid features;
- delay document generation, review, consultation or service delivery;
- cancel or pause a subscription;
- remove member pricing or discounts;
- request an alternative payment method;
- attempt to collect payment again; and
- take any other action permitted by law and these Payment Terms.
4.5 Payment disputes and chargebacks
If you raise a payment dispute or chargeback, we may suspend access to the relevant product, credits, Membership, Legal Service or Account while the dispute is investigated. You remain responsible for legitimate charges and any unpaid amounts.
5. Pricing
5.1 Prices shown at checkout
The price payable is the price shown at checkout at the time of purchase, unless we expressly agree otherwise in writing.
5.2 Price changes
We may change prices, credit values, membership fees, credit pack pricing, member pricing, discounts, included benefits and product availability from time to time.
5.3 Subscription price changes
If we change the price of an existing subscription, we will take reasonable steps to notify affected Members before the change takes effect. If you do not agree to the new subscription price, you may cancel your subscription before the new price applies.
5.4 Errors
If a price is obviously incorrect because of a technical, typographical or administrative error, we may cancel or correct the purchase, refund any amount paid, or request payment of the correct amount before providing the relevant product or service.
5.5 Promotional pricing
We may offer promotional pricing, discount codes, trial periods, launch offers or limited-time offers. Such offers may be subject to additional terms, eligibility requirements, expiry dates, usage limits and withdrawal at any time.
6. Taxes
6.1 Taxes
Prices may be exclusive or inclusive of sales tax, use tax, VAT or other applicable taxes depending on the checkout flow, customer location, customer status, product type and applicable law.
6.2 Tax information
Where sales tax, VAT or other taxes apply, they may be calculated and added at checkout or shown as included in the price, depending on the checkout process.
6.3 Customer information
You are responsible for providing accurate billing, location, tax and business information, including any tax identification information where requested.
6.4 Tax treatment
We do not provide tax advice. You are responsible for determining your own tax treatment, accounting treatment, deductibility, reporting obligations and any tax obligations that apply to your purchase or use of the Platform.
7. StartWise Drafting credits
7.1 What a Drafting Credit covers
A Drafting Credit may be used to generate one eligible document through a guided StartWise Drafting workflow, subject to the applicable product terms and Platform rules.
Unless expressly stated, a Drafting Credit covers only the StartWise Drafting workflow and generated document. It does not include:
- attorney review;
- legal advice;
- legal consultation;
- legal approval;
- legal sign-off;
- bespoke legal services;
- negotiation support;
- redrafting by an attorney;
- filing fees;
- registration fees;
- government fees;
- third-party costs; or
- implementation support.
7.2 When a Drafting Credit is consumed
A Drafting Credit may be consumed when a document is generated, exported, downloaded, finalised or otherwise made available through the Platform, depending on the applicable workflow and product settings.
7.3 Drafting Credit restrictions
Drafting Credits:
- may be used only for eligible StartWise Drafting workflows;
- may be limited to a specific jurisdiction, product, Account, Business Profile or membership plan;
- may not be exchangeable for cash;
- may not be transferable unless we expressly permit it;
- may not be resold;
- may be subject to expiry;
- may be subject to usage caps or fair use limits; and
- may be revoked if obtained through fraud, misuse, error, chargeback or breach of terms.
7.4 Incorrect workflow selection
You are responsible for selecting the correct workflow, document type, Business Profile and jurisdiction. If you use a Drafting Credit for the wrong workflow or provide incorrect information, the credit may still be treated as consumed.
7.5 Failed generation
If a document fails to generate because of a technical Platform error, we may restore the relevant Drafting Credit, provide a replacement generation, or provide another reasonable remedy. This does not apply where failure results from incorrect user input, unsupported use, misuse, browser/device issues, third-party failures outside our control, or a workflow being unsuitable for the user’s matter.
7.6 Drafting Credits and legal review
Using a Drafting Credit does not mean that an attorney has reviewed the document. Attorney review must be separately purchased, if available.
8. Credit Packs
8.1 Credit Pack purchases
Users may be able to purchase Credit Packs containing multiple Drafting Credits.
8.2 Credit Pack benefits
Credit Packs may be priced lower than purchasing individual credits separately. Any stated saving is based on the relevant standard individual credit price at the time of the offer.
8.3 Use of Credit Pack credits
Credits purchased as part of a Credit Pack are subject to the same rules and restrictions as other Drafting Credits, unless expressly stated otherwise.
8.4 Expiry of Credit Pack credits
Credit Pack credits may expire after the period stated at checkout or in the relevant product terms. If no expiry period is stated, we may apply the default expiry period shown in your Account or product terms.
8.5 No guarantee of future availability
Purchasing a Credit Pack does not guarantee that all workflows, document types, features, pricing, or Platform functionality will remain available indefinitely.
9. Additional Member Credits
9.1 Member pricing
Active Members may be offered Additional Member Credits at member pricing.
9.2 Eligibility
Additional Member Credits are available only while the relevant Membership is active and in good standing.
9.3 Loss of member status
If your Membership ends, is cancelled, expires, fails payment, is suspended or is terminated, you may lose access to member pricing and member-only credit purchases.
9.4 Use restrictions
Additional Member Credits apply to StartWise Drafting only and do not include attorney review, legal advice, legal consultation, bespoke legal services, filing fees or third-party costs.
10. StartWise Membership
10.1 Membership overview
StartWise Membership is a paid subscription that may include access to specified Platform features and benefits, such as:
- monthly Drafting Credits;
- dashboard and document workspace access;
- saved workflows and document history;
- reusable Business Profiles;
- member pricing on additional Drafting Credits;
- discounts on eligible Document Review / Attorney Review;
- discounts on eligible Legal Consultations; and
- faster review turnaround where available.
The exact Membership benefits are those shown at checkout, in your Account or in the applicable Membership product description.
10.2 Membership does not include legal services
Unless expressly stated, Membership does not include:
- attorney review;
- legal advice;
- legal consultation;
- bespoke legal services;
- filing fees;
- government fees;
- third-party costs;
- negotiation;
- extensive redrafting; or
- legal sign-off.
10.3 Monthly Membership
Monthly Membership renews automatically each month unless cancelled in accordance with these Payment Terms and the checkout terms.
10.4 Annual Membership
Annual Membership renews automatically each year unless cancelled in accordance with these Payment Terms and the checkout terms.
10.5 Membership billing
You authorise us and our payment provider to charge the applicable Membership fee on a recurring basis at the start of each Billing Period unless the Membership is cancelled before renewal.
10.6 Membership credits
Membership may include a specified number of Drafting Credits during each Billing Period. Unless expressly stated:
- Membership credits apply to StartWise Drafting only;
- Membership credits do not include Legal Services;
- unused monthly credits expire at the end of the applicable monthly period;
- unused credits do not convert to cash;
- unused credits are not refundable;
- credits may be subject to rollover limits or caps where expressly stated; and
- credits may be lost if Membership is cancelled, terminated, suspended or not renewed.
10.7 Credit cap
If a rollover or credit cap is offered, unused credits may roll over only up to the permitted cap stated in the applicable Membership description. Credits exceeding the cap may expire automatically.
10.8 Member discounts
Member discounts apply only to eligible products and services expressly included in the Membership plan. Discounts:
- are not guaranteed to apply to all products or services;
- may not apply to bespoke legal work;
- may not apply to filing fees, government fees or third-party costs;
- may not be combined with other promotions unless we permit it;
- may change from time to time; and
- are available only while Membership is active and in good standing.
10.9 Faster review turnaround
Where faster attorney review turnaround is offered as a Membership benefit, it is subject to availability, scope, workload, document complexity, conflicts checks, user responsiveness and any stated product terms. Faster turnaround is not guaranteed unless expressly confirmed in writing.
10.10 Membership changes
We may change Membership benefits, pricing, included credits, discounts, features and eligibility from time to time. Changes may apply at the next renewal or as otherwise notified, subject to applicable law.
11. Subscription renewal and cancellation
11.1 Automatic renewal
Unless cancelled, subscriptions renew automatically at the end of each Billing Period.
11.2 Cancellation by you
You may cancel your subscription through your Account, by following the cancellation process provided, or by contacting us where account cancellation is not available.
11.3 Timing of cancellation
Cancellation stops future renewals. Unless required by law or expressly stated otherwise, cancellation does not automatically entitle you to a refund for the current Billing Period.
11.4 Access after cancellation
After cancellation, you may continue to access Membership benefits until the end of the paid Billing Period, unless your Account is suspended or terminated for breach, misuse, non-payment or another permitted reason.
11.5 Failed renewal payment
If a renewal payment fails, we may retry payment, request a new payment method, suspend Membership benefits, downgrade access, cancel the subscription, or remove member pricing.
11.6 Cancellation by us
We may cancel, suspend or refuse renewal of a subscription if:
- payment fails;
- you breach applicable terms;
- you misuse the Platform;
- your use creates legal, security, operational or reputational risk;
- we discontinue the Membership; or
- required by law or a third-party provider.
12. Refunds and cancellation rights
12.1 General position
Except where required by applicable law or expressly stated in these Payment Terms or product-specific terms, payments are non-refundable once the relevant product, access, credit, membership period, review, consultation or service has been provided, used, consumed, started or made available.
12.2 Drafting Credits
Unless required by law or expressly stated otherwise:
- Drafting Credits are non-refundable once used or consumed;
- Drafting Credits are non-refundable where a document has been generated, downloaded, exported or made available;
- unused credits may be non-refundable after purchase, subject to applicable law and any cancellation rights that apply; and
- expired credits are not refundable.
12.3 Credit Packs
Credit Packs may be non-refundable once purchased, and are non-refundable to the extent credits have been used, consumed, expired or made available, unless required by law.
12.4 Membership
Membership fees are generally non-refundable once the relevant Billing Period begins, except where required by law or expressly agreed. Cancellation prevents future renewals but does not automatically refund the current Billing Period.
12.5 Document Review / Attorney Review
Document Review / Attorney Review fees may be non-refundable once review work has started, documents have been submitted for review, conflict checks or scoping have begun, or attorney time has been allocated, unless required by law or expressly agreed.
12.6 Legal Consultation
Legal Consultation fees may be non-refundable if you cancel late, fail to attend, reschedule outside the permitted window, or the consultation has started or taken place, subject to any cancellation or rescheduling policy shown at checkout.
12.7 Bespoke services
Refunds for bespoke legal work are governed by the applicable engagement letter, scope, invoice terms or separate written agreement.
12.8 Statutory rights
Nothing in these Payment Terms excludes or limits statutory rights that cannot be excluded or limited under applicable law.
12.9 Digital services and immediate performance
Where applicable, you may be asked to consent to immediate access, immediate performance or immediate supply of digital content or digital services. Where you do so, you may lose cancellation rights once performance begins, access is provided, a credit is consumed, or a document is generated, subject to applicable law.
12.10 Discretionary refunds
We may provide discretionary refunds, credits or goodwill adjustments in particular circumstances. Doing so does not create an obligation to provide similar refunds or adjustments in the future.
13. Document Review / Attorney Review payments
13.1 Payment timing
Document Review / Attorney Review is charged before review begins unless we agree otherwise.
13.2 Scope
Document Review / Attorney Review is subject to the applicable Document Review / Attorney Review Scope. Fixed-price Document Review / Attorney Review applies only to eligible documents within the stated scope.
13.3 Page limits and additional charges
Document Review / Attorney Review may be subject to page limits, formatting assumptions and additional page fees. If a document exceeds the included page limit, additional fees may apply before review begins or continues.
13.4 Exclusions
Unless separately agreed, Document Review / Attorney Review does not include:
- negotiation;
- extensive redrafting;
- regulatory analysis;
- tax advice;
- fundraising structuring;
- securities analysis;
- cross-border analysis;
- review of external linked documents;
- review outside the stated scope;
- filing fees;
- third-party costs; or
- implementation support.
13.5 Ineligible documents
If a document is not eligible for fixed-price Document Review / Attorney Review, we may cancel the order, refund the fee, request additional information, or offer a bespoke quote.
14. Legal Consultation payments
14.1 Payment timing
Legal Consultations are charged before the consultation unless we agree otherwise.
14.2 Consultation duration
Consultations are limited to the duration purchased, such as 30 minutes or 60 minutes, unless additional time is separately booked and paid for.
14.3 Scope
A Legal Consultation may be used for business-related legal questions, concerns, strategy or next steps. Unless separately agreed, it does not include written document review, drafting, redlines, filing fees, bespoke legal services or third-party costs.
14.4 Scheduling
You are responsible for selecting a suitable time, attending the consultation, providing relevant information in advance and ensuring that you have the necessary authority to discuss the matter.
14.5 Late attendance and no-shows
If you are late, the consultation may still end at the scheduled end time. If you do not attend, the fee may be non-refundable, subject to any rescheduling policy shown at checkout.
14.6 Rescheduling
Rescheduling may be permitted if requested within the timeframe stated at checkout or confirmed by us. We may refuse repeated, late or unreasonable rescheduling requests.
15. Request Scope and bespoke legal services
15.1 Request Scope
Request Scope allows you to submit information about a matter that may require bespoke legal support.
15.2 No obligation to act
Submitting a Request Scope form or paying any preliminary fee does not by itself create an obligation for Entrepreneur Legal® US to act, provide legal services or accept the matter.
15.3 Separate scope required
Bespoke legal work is subject to separate written scope confirmation, engagement terms and fees.
15.4 Conflicts and suitability
We may need to conduct conflicts checks, assess scope, request further information or decline to act before providing bespoke legal services.
15.5 Bespoke fees
Bespoke work may be charged on a fixed-fee, hourly, retainer or other basis as separately agreed.
16. Non-payment and collection
16.1 Unpaid amounts
You must pay all amounts due under these Payment Terms, checkout terms, invoices or agreed scopes.
16.2 Suspension for non-payment
We may suspend access to the Platform, credits, membership benefits, document generation, review, consultations or other services if payment is overdue or disputed.
16.3 Recovery of unpaid amounts
We may recover unpaid amounts using any lawful means, including payment retries, invoices, collection action or court proceedings where permitted.
16.4 Costs of recovery
Where permitted by law, you may be responsible for reasonable costs of recovering unpaid amounts.
17. Discounts, coupons and promotions
17.1 Discount codes
Discount codes, coupons or promotional offers may be subject to eligibility requirements, expiry dates, product restrictions, usage limits and other conditions.
17.2 Withdrawal or correction
We may withdraw, suspend, refuse, correct or cancel a discount or promotion where it is misused, expired, issued in error, technically defective, or contrary to the applicable offer terms.
17.3 No cash value
Discounts and promotions have no cash value and may not be exchanged for cash.
17.4 Combining discounts
Discounts may not be combined unless we expressly permit it.
18. Account credits and records
18.1 Credit records
The Platform may display available credits, used credits, expired credits, membership status, purchase history and product access. Platform records are intended to assist users but may not always update instantly.
18.2 Errors in records
If there is an error in displayed credit balances, purchase records, membership status or pricing, we may correct the error and adjust the Account accordingly.
18.3 Evidence of transactions
Payment provider records, Account records, invoices, receipts and internal logs may be used to evidence purchases, renewals, credit use, cancellations and refunds.
19. Changes to products and terms
19.1 Product changes
We may add, remove, rename, repackage, suspend or modify products, credit packs, membership plans, included benefits, discounts and service scopes from time to time.
19.2 Changes to these Payment Terms
We may update these Payment Terms from time to time. Where changes materially affect active subscriptions, we will take reasonable steps to notify affected users.
19.3 Acceptance of updated terms
We may require you to accept updated Payment Terms before continuing to use paid features, renewing a subscription, purchasing credits or completing checkout.
20. Relationship with other terms
20.1 Platform Terms
Use of StartWise is also governed by the StartWise Platform Terms of Use — US.
20.2 Legal Services Terms
Where you purchase Legal Services, those services may also be governed by Legal Services Terms, Document Review / Attorney Review Scope, Legal Consultation Scope, bespoke engagement terms or a separate written scope.
20.3 Conflicts
If there is a conflict between:
- these Payment Terms and checkout terms, the checkout terms apply to the relevant purchase;
- these Payment Terms and product-specific terms, the product-specific terms apply to the relevant product;
- these Payment Terms and Legal Services Terms, the Legal Services Terms apply to the relevant Legal Service; and
- these Payment Terms and a separately agreed written scope, the separate written scope applies to the relevant bespoke service.
21. Liability
21.1 No exclusion where unlawful
Nothing in these Payment Terms excludes or limits liability where it would be unlawful to do so.
21.2 Payment-related liability
Subject to clause 21.1, our liability in connection with payments, subscriptions, credits, refunds, discounts, membership benefits and payment processing is limited to the amount paid by you for the specific product or service giving rise to the claim.
21.3 Third-party payment providers
We are not responsible for payment provider outages, card issuer decisions, bank charges, foreign exchange fees, failed authorisations, fraud checks, account holds or other third-party payment processing issues except where required by law.
22. Governing law and dispute resolution
22.1 Governing law
These Payment Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the State of New York, without regard to conflict of law rules that would require the application of another jurisdiction’s laws.
22.2 Arbitration
Subject to the exceptions in clause 22.5, any dispute, controversy or claim arising out of or in connection with these Payment Terms, payments, purchases, subscriptions, drafting credits, refunds, discounts, membership benefits, payment processing or any non-contractual obligations arising out of or in connection with them shall be referred to and finally resolved by arbitration under the Rules of the London Court of International Arbitration (LCIA Rules), which rules are deemed to be incorporated by reference into this clause.
22.3 Seat, language and tribunal
The seat, or legal place, of arbitration shall be London, England.
The language of the arbitration shall be English.
The tribunal shall consist of one arbitrator appointed in accordance with the LCIA Rules.
22.4 Remote and proportionate procedure
The parties agree that the arbitration should be conducted in a proportionate, efficient and cost-conscious manner, having regard to the nature and value of the dispute.
Unless the tribunal determines otherwise, any procedural conference, case management conference or hearing may be conducted by telephone, video conference or other remote means.
22.5 Exceptions to arbitration
Nothing in this clause prevents Entrepreneur Legal® US from seeking payment of unpaid fees in any court of competent jurisdiction, or from seeking urgent injunctive, equitable or protective relief in any court of competent jurisdiction, including in relation to confidentiality, intellectual property, Platform security, data, systems, misuse of the Platform, non-payment or unauthorised access.
Nothing in this clause prevents either party from enforcing an arbitral award in any court of competent jurisdiction or applying to a court of competent jurisdiction for relief in support of arbitration proceedings where permitted by applicable law.
22.6 Courts in support of arbitration
The courts of England and Wales shall have jurisdiction in relation to the supervision of the arbitration and any court applications relating to the arbitral proceedings, subject to any mandatory applicable law.
22.7 Confidentiality of arbitration
The parties shall keep the arbitration, the existence of the arbitration, submissions, evidence, orders and awards confidential, except to the extent disclosure is required by law, required to enforce or challenge an award, required for professional advice, required by a regulator or court, or otherwise permitted by the tribunal.
22.8 Urgent relief
Nothing in these Payment Terms prevents us from taking immediate action to suspend or restrict access to the Platform or paid products where we reasonably consider this necessary for security, legal, operational, payment, misuse, confidentiality, intellectual property, data protection or risk-management reasons.
