These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles.
- Complaints Procedure
If you have any complaints regarding your purchase or the content of our downloadable legal templates, please contact us promptly at info@us.entrep.legal. You must provide sufficient details about the issue, including your order number, the specific template in question, and a detailed description of your concern.
We aim to acknowledge all complaints within five (5) business days of receipt and to provide a substantive response within fourteen (14) business days. In some cases, depending on the complexity of the complaint, additional time may be necessary. If additional time is needed, we will notify you and provide an estimated timeframe for resolution.
- Dispute Resolution
If a resolution cannot be reached through our complaints process, you agree that any dispute, claim, or controversy arising out of or relating to your purchase, use of the Templates, these Terms, or the breach, termination, enforcement, interpretation, or validity thereof (collectively, “Disputes”), shall be resolved exclusively through binding arbitration.
The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules then in effect, except as modified herein. The arbitration shall be conducted by a single arbitrator.
The arbitration shall take place via remote means such as video conferencing. The arbitration shall be governed by the Federal Arbitration Act and applicable New York state law.
Each party shall be responsible for its own costs and expenses related to the arbitration, including attorneys’ fees, unless otherwise awarded by the arbitrator. The fees for arbitration shall be split equally, except as otherwise provided in the AAA rules or determined by the arbitrator.
The arbitrator’s decision shall be final and binding on all parties and may be entered as a judgment in any court of competent jurisdiction. The arbitrator shall have the authority to award damages, injunctive relief, or any other remedy permitted by law, but may not award punitive damages or attorneys’ fees unless expressly authorized by applicable law.
You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration. All Disputes shall be resolved on an individual basis.
Notwithstanding the foregoing, either party may seek equitable relief in a court of competent jurisdiction in New York, New York, for matters relating to intellectual property rights or claims for injunctive relief.
- Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- Changes to Terms
We reserve the right to modify these Terms at any time. Any changes will be posted on our Website with an updated “Last Updated” date. Your continued use of the Website following such modifications constitutes your acceptance of the revised Terms.
