How Much Do Legal Documents Cost for a US Startup?
By Gabriel C. Mbanefo, Esq. - Attorney admitted to the New York State Bar and Solicitor of the Senior Courts of England and Wales; President, Law Offices of Gabriel C. Mbanefo, P.C. d/b/a Entrepreneur Legal.
At a glance: what founders are actually buying
| Route | Best fit | What you are paying for | What remains with the founder |
|---|---|---|---|
| Static template | Known document, routine facts and known jurisdiction. | Pre-written structure and clauses. | Selection, adaptation, legal fit, execution and issue spotting. |
| General-purpose AI | Founder can frame the issue and independently verify the output. | Fast generation, explanation and revision. | Prompt design, source checking, missing-issue detection and state-law fit. |
| StartWise™ Drafting | Available document closely fits a routine need. | Guided questions, reusable business information, tailored first draft and Drafting Notes. | Accurate inputs, commercial decisions and escalation when advice is needed. |
| Fixed-scope attorney review | Existing eligible document needs focused attorney comments within an agreed scope. | Document-focused legal review. | Accurate facts and understanding the review scope/limitations. |
| Consultation / bespoke attorney support | The legal issue itself is uncertain, negotiated, regulated, state-specific or high-risk. | Advice, legal analysis, strategy, negotiation and/or bespoke drafting. | Complete facts and business priorities. |
Why the same document title can hide very different work
A founder may need a Services Agreement for a routine $8,000 agency project with settled scope and familiar terms. Another founder may use the same document label for a multi-state enterprise deal involving security schedules, negotiated IP indemnities, customer data, insurance requirements and several rounds of redlines. The title is the same; the service is not.
The same problem appears with contractor and founder documents. A routine independent contractor relationship is different from a worker whose classification is uncertain under federal and state law. A simple founder expectations document is different from implementing equity, vesting, securities and tax decisions. Budgeting by document name alone hides those differences.
A better cost model: separate drafting from judgment
- Document selection: do you know which document actually fits the stated need?
- Information gathering: are the business facts and commercial choices already settled?
- Drafting: is the main task turning those facts into usable language?
- Review: do you need an attorney to check a draft within a defined scope?
- Legal judgment: are classification, state law, entity/equity, regulation, securities, tax or negotiation questions unresolved?
- Implementation: are there filings, approvals, tax elections, rights processes or operational controls outside the document itself?
Current StartWise pricing: what is actually confirmed
As confirmed by Entrepreneur Legal on 19 September 2026, StartWise US offers a free Basic workspace. Drafting credits are required when the user is ready to generate a document. StartWise Monthly is $99 per month and StartWise Annual is $990 per year; each membership currently includes two drafting credits per month and stated member benefits.
Current Entrepreneur Legal US review pricing is $195 for fixed-scope attorney review of an eligible StartWise-generated US document, compared with $795 for review of a non-StartWise-generated document. That is $600 less, approximately 75% lower on the review component only.
Illustrative current prices - not national averages
To make the cost question concrete without pretending there is one US market price, the figures below combine current Entrepreneur Legal pricing with a dated, anonymized spot-check of published online legal-marketplace prices. The third-party figures are platform-specific examples, not national averages or quotes, and can change materially by state, lawyer, scope, urgency and complexity.
| Route / benchmark | Illustrative current price | What it represents | Important limitation |
|---|---|---|---|
| Selected Entrepreneur Legal US Etsy templates | $30-$60 across selected current listings checked 19 Sep 2026 | One-off attorney-drafted editable template with drafting instructions. | Static document; the buyer selects and adapts it and remains responsible for legal fit and implementation. |
| StartWise™ Drafting | Basic account free; Monthly $99; Annual $990; drafting credits required to generate | Guided questions, reusable business information, tailored first draft and Drafting Notes. | Not legal advice. Membership currently includes two drafting credits per month; recheck pricing before purchase. |
| Eligible StartWise-generated document review | $195 fixed-scope attorney review | Attorney review of an eligible generated US document within an agreed scope. | Separate legal service; eligibility, scope and complexity limits apply. |
| Non-StartWise document review | $795 fixed-scope review | Review of an outside or non-StartWise document within an agreed scope. | Separate legal service; additional work may be quoted separately. |
| Recent online legal-marketplace drafting examples | About $610-$1,000 flat fee across selected common startup agreements | Recent published averages for professional-services, independent-contractor, operating and founders agreements. | Anonymized platform-specific data, not a national market average or a quote for a particular matter. |
| Recent online legal-marketplace review examples | About $450-$670 flat fee across selected common startup agreements | Recent published averages for comparable document-review projects. | Anonymized platform-specific data; scope and document complexity vary. |
| Commercial-contract hourly example | About $240-$600/hour on one current online legal marketplace | A published commercial-contract hourly range. | One platform’s published range, not a universal US attorney rate. |
Where static templates can be cost-efficient
A static template can be rational when the founder already knows the document, the relevant jurisdiction, the commercial choices and the execution steps. Entrepreneur Legal US also offers selected attorney-drafted US templates through Etsy. In a 19 September 2026 spot-check, selected current listings included examples from $30 to $60. This route can suit a founder who wants a one-off editable document and is comfortable adapting it without guided questions. Unlike StartWise, a static template does not use document-specific guided questions to generate a tailored first draft. Live Etsy pricing and listing availability should be checked before purchase. Where general-purpose AI can reduce drafting time
General-purpose AI can be useful for organizing business terms, producing alternative language and explaining clauses. The hidden cost is verification. The user still has to know what to ask, which jurisdiction matters, which sources to check and when the output is solving the wrong problem.
Where guided drafting changes the cost equation
StartWise moves some of the information-gathering structure into the drafting process through document-specific guided questions. For an available routine document, that can reduce the blank-page and prompt-design burden. Drafting Notes can make selected assumptions and follow-up items more visible after the first draft.
That does not convert a self-service document into legal advice. If the unresolved question is legal, the founder should not keep buying more drafting effort in the hope that the legal issue disappears.
Three examples where legal judgment changes the budget
1. Worker classification
The IRS uses common-law control and independence principles for federal employment tax, while the FLSA has its own economic-reality framework and state law can differ again. In California, the ABC test applies to many relationships subject to exceptions. A founder asking “how much is a contractor agreement?” may actually need classification advice before any agreement is drafted.
2. LLC governance
State LLC law is not uniform. Delaware gives strong contractual effect to LLC agreements, while New York requires members to adopt a written operating agreement and California’s statute specifies both what the operating agreement governs and what it cannot vary. An “operating agreement” can therefore involve different state-law questions before drafting starts.
3. Fundraising
A fundraising document can sit inside a federal and state securities-law process. The SEC’s current Rule 506(b) and 506(c) materials show materially different conditions around general solicitation and accredited-investor verification. That is why “draft a financing document” may be the least important part of the legal work.
A founder decision tree before spending
| Question | If yes | If no |
|---|---|---|
| Do you know the correct document and governing jurisdiction? | Move to commercial terms. | Get advice or research before drafting. |
| Are the key commercial decisions already made? | A drafting route may fit. | Resolve the business/legal choices first. |
| Is the matter routine and not materially regulated/negotiated? | Template or guided drafting may be proportionate. | Consider attorney input. |
| Is the uncertainty mostly wording rather than law? | Self-service drafting can be efficient. | Buy legal judgment before more drafting. |
| Do you already have a structured draft and want focused comments? | Fixed-scope review may fit if eligible. | Consultation/bespoke support may be more appropriate. |
Common budgeting mistakes
| Mistake | Why it distorts cost |
|---|---|
| Comparing a template price with a lawyer engagement | They are different services and allocate responsibility differently. |
| Using a nationwide “average contract price” | State, scope, negotiation and risk can change the work dramatically. |
| Treating the first draft as the total task | Review, negotiation, filings, rights processes or implementation may remain. |
| Calling a legal-classification problem a drafting problem | A cheaper draft can create rework if the legal premise is wrong. |
| Treating review savings as total legal savings | The StartWise comparison is expressly limited to the review component. |
How StartWise™ Drafting fits
For routine available documents where the underlying legal and commercial decisions are already clear, StartWise can be an efficient self-service drafting route. A Basic account can currently be created free, and drafting credits are purchased or included through membership when the user is ready to generate a first draft. Eligible StartWise-generated US documents can currently qualify for $195 fixed-scope attorney review as a separate legal service.
If the uncertainty is state law, worker classification, entity/equity, securities, tax, regulation, dispute or substantial negotiation, the better cost-control decision is often to obtain the legal judgment first.

Frequently asked questions
How much does a startup lawyer charge for a contract?
There is no responsible single nationwide figure that fits every state, attorney, contract and scope. The amount can change materially depending on advice, negotiation, research, complexity, urgency and implementation.
Is a template always cheaper than guided drafting?
The upfront purchase price may be lower, but the user assumes more adaptation and verification work. The right comparison is the total work required for the specific matter, not only the file price.
Is StartWise free?
The current Access page lists a free Basic workspace. Drafting credits are required to generate a document. Membership and review prices should be checked immediately before purchase.
Does the $195 review price apply to every StartWise document?
No. The $195 price applies only to eligible StartWise-generated US documents within the fixed-price review scope. Eligibility can depend on the document, changes made after generation, the applicable state or jurisdiction and the complexity of the matter. Current eligibility and pricing are confirmed before purchase.
When should a founder pay for a consultation before drafting?
When the hard question is legal rather than editorial: classification, entity/equity, securities, tax, regulation, multistate scope, disputes or a material negotiated position.
